These terms and conditions ("Agreement") govern your use of the IT support, training services and ERP system provided by EURICA International s. r. o. ("Service Provider"), with its registered address at Nerudova 18082/1, 821 04 Bratislava , Slovakia , registered under the IČO 50367641 . By accessing or using our services, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not use our services.
1.1 Eurica International offers IT support services and an ERP system to assist businesses in managing their operations effectively.
1.2 The services provided may include, but are not limited to, software installation and configuration, troubleshooting, system maintenance, technical support, and training.
2.1 The fees for the IT support services and ERP system will be communicated to the client through a separate agreement or proposal.
2.2 The client agrees to pay the fees as outlined in the agreement or proposal. Payment terms, including due dates and accepted payment methods, will be specified in the agreement or invoice.
2.3 In the event of late or non-payment, Eurica International reserves the right to suspend or terminate the services until payment is received.
2.4 Payment can be made through the following methods:
a) Wire transfer: Payments can be made by wire transfer to the bank account provided by Eurica International. Any applicable bank charges or fees associated with the wire transfer shall be borne by the client.
b) Letter of Credit (LC): For clients opting to use a Letter of Credit, the terms and conditions of the LC must be agreed upon in advance by both parties. Eurica International reserves the right to refuse or accept the Letter of Credit as a valid form of payment.
2.5 In the event of late or non-payment, Eurica International reserves the right to suspend or terminate the services until payment is received.
3.1 Eurica International retains all rights, title, and interest in the intellectual property associated with the IT support services and ERP system, including but not limited to software, documentation, and any modifications or enhancements.
3.2 The client agrees not to reproduce, distribute, modify, or create derivative works based on Eurica International's intellectual property without prior written consent.
4. Confidentiality
4.1 Both parties agree to treat any information exchanged during the provision of the services as confidential. This includes, but is not limited to, proprietary business information, trade secrets, and customer data.
4.2 Eurica International will take reasonable measures to protect the client's confidential information. However, Eurica International shall not be liable for any unauthorized access, use, or disclosure of such information unless caused by its gross negligence or willful misconduct.
5. Limitation of Liability
5.1 Eurica International shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or related to the use of the IT support services and ERP system.
5.2 Eurica International's liability, if any, shall be limited to the amount paid by the client for the services rendered during the three (3) months preceding the event giving rise to the liability.
6. Termination
6.1 Either party may terminate this Agreement upon written notice if the other party breaches any material provision of this Agreement and fails to remedy such breach within a reasonable period.
6.2 Termination of the Agreement shall not relieve the client of its payment obligations for the services rendered before the termination date.
7. Governing Law and Jurisdiction
7.1 This Agreement shall be governed by and construed in accordance with the laws of Slovakia.
7.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Slovakia.
